Management Board of TIM SA with its registered office in Wrocław informs that on 07.10.2015 TIM SA received a signed copy of Annex No.1 to NKT CABLES Trade Agreement No. 110094/2014 concluded on 11.06.2014 between TIM SA and nkt cables Spółka Akcyjna with its registered office in Warszowice and nkt cables Warszowice Sp. z o.o. with its registered office in Warszowice, dated 07.09.2015.
The subject matter of the Trade Agreement, referred to above, is to define the general principles of cooperation in the scope of the sale by nkt cables Spółka Akcyjna with its registered office in Warszowice and nkt cables Warszowice Sp. z o.o. with its registered office in Warszowice of goods manufactured by the above named companies to TIM SA. The agreement, referred to above, is concluded for an indefinite period. The subject matter of Annex No. 1 to the Trade Agreement, referred to above, it to define the principles of cooperation in the scope of the sale by nkt cables SA and nkt cables Warszowice Sp. z o.o. of electrotechnical materials to TIM SA for the year 2015.
The above agreement is a framework agreement which means that each time the basis for its implementation are the orders for goods placed by TIM SA specifying, among other things the assortment, quantity of the ordered goods and the delivery deadline.
The value of the above agreement is estimated for the amount exceeding 10% of the equity capital of TIM SA. The provisions of the above-mentioned Agreement do not diverge from the market standards applicable in agreements of this type. The Agreement does not include the condition or a term of suspension; does not provide for contractual penalties whose maximum value could exceed 10% of its value and it was concluded under the terms and conditions commonly applied in agreements of this type.
The agreement, referred to above, meets the criterion of a significant agreement due to the fact that its estimated value exceeds 10% of the equity capital of TIM SA.
