On 5 October 2018, pursuant to Resolution 6/05.10.2018, the Extraordinary General Meeting of Shareholders of TIM S.A. endorsed as follows:

“Pursuant to Article 430, section 1, in relation to Article 455, section 1 of the Code of Commercial Companies and article 26, section 8 of the Articles of Association (endorsed with Resolution 35/13.06.2018 by the Ordinary General Meeting of TIM S.A. on 13.06.2018, Register A no. 13845/2018) the Extraordinary General Meeting of Shareholders of TIM S.A. passes as follows:

1. The Extraordinary General Meeting of Shareholders of TIM S.A. decides to change Article 7 of the Articles of Association which shall read as follows:
“Article 7
1. The Company’s core objective, according to the Polish Classification of Business Activities (PKD), is the wholesale of a variety of goods without any particular specialisation (PKD 46.90.Z),The Company’s remaining objective, according to the Polish Classification of Business Activities (PKD), is:

1_Wholesale trade, except of motor vehicles (PKD 46)
2_Retail trade, except of motor vehicles (PKD 47),
3_ Warehousing and storage of other goods (PKD 52.10.B),
4_Road transport of goods (PKD 49.41.Z),
5_Purchase and resale of real estate for the Company’s sole needs (68.10.Z)
6_Rental and operating of own or leased real estate (PKD 68.20.Z),
7_Electrical installation (PKD 43.21.Z),
8_Other credit granting (PKD 64.92.Z),
9_Advertising (PKD 73.1),
10_Other financial service activities, except insurance and pension funding not elsewhere classified (PKD 64.99.Z),
11_Advisory services in computer hardware (72.10.Z),
12_Computer programming activities (PKD 62.01.Z),
13_Data processing, hosting and related activities (PKD 63.11.Z),
14_Computer consultancy activities (PKD 62.02.Z),
15_Repair and maintenance of computers and peripheral devices (PKD 95.11.Z),
16_Other information technology and computer service activities (PKD 62.09.Z),
17_Other business support service activities not elsewhere classified (PKD 82.99.Z),
18_Other extra school forms of education not classified otherwise (PKD 85.59.B),
19_Activity supporting education (PKD 85.60.Z)

22_Other activities auxiliary to financial services, except insurance and pension funding (PKD 66.19.Z).”

2. In the remaining scope the provisions of the Articles of Association shall remain without any amendments.

3. The Resolution shall come into force as of the date the Registry Court registers the changes in the Articles of Association of the Company specified in the Resolution in the Register of Entrepreneurs.”

In the Annexe to the Current Report the Company publishes the consolidated text of the Articles of Association of the Company including the above-mentioned amendments – passed pursuant to Resolution No. 7/05.10.2018 of the Extraordinary General Meeting of Shareholders of TIM S.A. of 5 October 2018.
