The conclusion of annexes to agreements between TIM SA, 3LP SA and mLeasing Sp. z o.o.

The Management Board of TIM SA with its registered office in Wrocław announces that on 09.05.2019  TIM SA received information on signing by mLeasing sp. z o.o. with its registered office in Warsaw of annexes dated 07.05.2018 to the agreements on financial leasing of 14.06.2017 and 26.10.2017. The parties to the above annexes are as follows: 3LP SA with its registered office in Siechnice _hereinafter referred to as “3LP SA” _ in which TIM SA holds 100% of shares and mLeasing Sp. z o.o., as well as the annexes to the agreements on the conditional acquisition of the rights and obligations of 14.06.2017 and 26.10.2017; the parties of the above annexes are as follows: TIM SA, 3LP SA and mLeasing Sp. z o.o.
TIM SA informed about entering into the above agreements in current statement No. 23/2017 published on 14.06.2017 and in current statement No. 36/2017 published on 27.10.2017.
Under the provisions of the aforementioned annexes, the performance security of the agreements referred to above has been changed, i.e.. mLeasing Sp. z o.o. agreed to the cancellation of the mortgage established for the benefit of mLeasing SP. z o.o. on the land property located in Siechnice, Siechnice commune, ul. Kwiatkowskiego, which is the lot with the following registration number: 544/58 for the District Court in Oława, Division IV of Land and Mortgage Register maintains the register entry No. KW WR1O/00062692/3 which is used by 3LP S.A. as a perpetual usufructuary, for which the conditional sale agreement was concluded on 23.04.2018 _current statement No. 11/2018 of 24.04.2018 _ in Exchange for what 3LP SA committed to pay the amount of PLN1 000 000 to the account of mLeasing SP. z o.o. as the security deposit and the guarantee of TIM SA was increased by the total amount of 1. 500.000  _ in words: one million five thousand PLN.
The value of the assets _the equipment of the Logistics Centre in Siechnice_ under the previously concluded agreements between TIM SA, 3LP SA and mLeasing Sp. z o.o. on the purchase and leasing of equipment of the Logistics Centre in Siechnice as of the date of this report amounts to PLN40 519 094,45 _ in words: forty million five hundred and nineteen thousand ninety four and 45/100 PLN_net.

The total value of guarantees by TIM SA for the agreements concluded with mLeasing Sp. z o.o. amounts to PLN 23 770 629,33 _ in words: twenty-three million seven hundred and seventy thousand six hundred and twenty-nine and 33/100 PLN _.

The Management Board of TIM SA notes that the above information is considered confidential within the meaning of the definition set out in Article  7 MAR, due to the fact that the total amount of the potential liability of TIM SA towards mLeasing sp. z o.o. arising from the above guarantee for the agreements may have an impact on the future financial results of TIM SA.
